Director Resignation Letter – Sample Format

As a director, you are required to send a resignation letter to the company from which you want to resign. The effective date of your resignation will be either the date on which the resignation letter is accepted by the board of directors or the date you specified in the notice, whichever is later.

After getting acceptance from the company, you have to file DIR-11 with the ROC. The company has to do followings;

  • Take note of the resignation by passing a board resolution and
  •  Intimate the ROC through filing DIR-12 within 30 days from the date of resignation

Here are the sample formats of the director resignation letter that you can use to draft your own.

Dear Sir,

Due to my personal and unavoidable circumstances, I am not in a position to devote my time to the affairs of the Company. Accordingly, I hereby tender my resignation as Director of the company with immediate effect.

I request the Board of Directors to accept this letter as my formal resignation from my position as Director with the XYZ Company Limited. My last day of employment will be 23rd July 2020.

Kindly acknowledge the receipt and arrange to submit the necessary relevant forms with the office of the Registrar of Companies to that effect, accordingly.
