Resolution for amendment of objects clause-Specimen

Here are specimen resolutions for amendment of main objects clause of the Memorandum of Association (MOA).

SPECIMEN 1

“RESOLVED THAT pursuant to the applicable provisions of the Companies Act, 2013, and subject to the confirmation of the Registrar of Companies clause 3(a) of the Memorandum of Association of the Company be altered by inserting the word “amalgamate” after the word “To” appearing in line 1 thereof.”

SPECIMEN 2

“RESOLVED THAT pursuant to the applicable provisions of the Companies Act, 2013, and subject to the confirmation of the Registrar of Companies, Clause 3(a) of the Memorandum of Association of the company be altered by substituting the following as new Clause 3(a) in place of the existing Clause 3(a) thereof:

‘3(a) To carry on the business of production of news based programmes, current affair programmes, talk shows, motion pictures, video centric news, anchoring based news, mobile application based news, dynamic news portal, chat shows, game shows, television programmes, television serials, films, and any other entertainment based content and programmes in different Indian & other regional languages to broadcast on satellite television, cable, broadband, web, internet, radio and any other broadcast medium and to deal in establishing,maintaining and managing studios, television channels and film production equipment and facilities, producing, buying, selling, import and export of content and information in print, audio, video and any other form and also to carry on business as broadcasters, channel operators, publishers in India. To carry on the business of printers and publishers of newspapers, magazines, journals, calendar, diaries, books, articles, periodicals, souvenirs and other publications of content in any language of any frequency, in any format or mode, whether in physical or digital, electronic, and to distribute them directly, in person or through post, couriers, web, internet or through agencies, vendors, distributors, stockists, vending machines and other delivery channels, whether physical or electronic, and to carry on the business of website content writing, search engine optimization, online marketing, social media marketing, tele-marketing, business promotion and distribution campaigns, design and manufacturing of garments for shows and events, roadside shows, event management services, customer awareness programme, advertising, marketing services and all other services related to media, advertising and entertainment.’”

SPECIMEN 3

“RESOLVED THAT pursuant to the applicable provisions of the Companies Act, 2013, and subject to the confirmation of the Registrar of Companies the main Objects Clause of the Memorandum of Association of the Company be and is hereby altered by adding the following to the end of the existing Clause 3(a):—

‘To deal in all kinds and description of fishing, operation of fish hatcheries, fish farms and service activities to fishing including but not limited to products and services, feeds, feed concentrates, feed additives, any type of agricultural inputs such as pesticides (biological or chemical or any other type), fertilizers, manures, nutrients, seeds, mineral mixture, vitamins, De-oiled cakes, feed supplement, medicines/biological and products of the like for the use in fish development.'”

Explanatory Statement

The Company is at present engaged in the manufacture of feeds for fish and other aqua products. The Board of directors of the Company would like to diversify/expand the activities of the Company connected with the existing main object of the company, in order to optimise the facilities of the Company. The present main objects clause of the Memorandum of Association of the Company is not covering the areas, which may be considered in future by the Company for diversification, etc. Hence, it is desirable to amend suitably the existing main Object Clause of the Memorandum of Association of the Company, as fully detailed in the resolution. The amendment shall be effective upon the registration of the resolution with the Registrar of Companies. The draft copy of the proposed amendment of Memorandum of Association of the Company is available for inspection at the Registered Office of the Company on any working day during business hours. The Board recommends the adoption of the special resolution. None of the Directors of the company is concerned or interested in the resolution.
